In 05/2025, Circle is priced its IPO between $24 and $26 a share, aiming for a valuation of up to $6.71B.
The company offers 24 million shares of Class A common stock, with 9.6 million shares sold by the company and 14.4 million by existing shareholders. Circle also said it will grant the underwriters a 30-day option to purchase up to 3.6 million additional shares.
If sold at the top end of the range, the offering could raise as much as $624M. Circle stands to raise another $240M in the IPO. The IPO is led by JPMorgan Chase, Citigroup, and Goldman Sachs. Cathie Wood's ARK Investment Management has indicated interest in purchasing up to $150 million of the shares, per the filing. Circle CEO Jeremy Allaire offloaded about 8% of his stake, selling 1.58M shares, and Sean Neville, a co-founder and former co-CEO, is slated to sell 11%, as is finance chief Jeremy Fox-Green. Venture firms Accel, Breyer Capital, General Catalyst, IDG Capital, and Oak Investment Partners are all scheduled to sell about 10% of their stock. The stock is expected to begin trading on the New York Stock Exchange under the symbol "CRCL" .
In 01/04/2025 Circle filed an S-1 form with the SEC to list on the NYSE under the symbol CRCL, marking a significant step towards its IPO. As of 04/2025, Circle was preparing for the IPO in mid-2025. But it is likely to hault its plan in the wake of Trump tariff announcement.
In 03/2025 Circle Internet Financial started preparing to file for an initial public offering by the end of 04/2025, working with investment banks JPMorgan Chase JPM and Citi as advisors. The Fortune reported, Circle was seeking a $4B-$5B valuation for its IPO.
Update as of 10/2024: "Cryptocurrency company Circle Internet Financial Ltd.'s yearslong ambitions to go public are alive and well, and the company has no need to tap private markets for capital as it continues to pursue a stock-market listing, Chief Executive Officer Jeremy Allaire said."
As of 05/2024 Circle is making the U.S. its new legal home ahead of a planned initial public offering in the country. Circle was still domiciled in the Republic of Ireland when it filed to list shares publicly with the U.S. Securities and Exchange Commission (SEC) in 01/2024.
On 11/01/2024 Circle Internet Financial confirmed that it had confidentially filed for a U.S. initial public offering as part of plans to become a publicly-traded company. Circle did not disclose the number of shares it plans to sell or the proposed price range for its new IPO filing.
07/11/2023 Circle filed for an IPO once again. The IPO might have taken place in 1Q2024. Some analysts think it will take longer.
Data as of 11/2023: Circle Internet Financial Ltd. is considering going public early in 2024, according to people with knowledge of the matter (Bloomberg reported). The company is talking to advisers as it prepares for a potential initial public offering, said the people, who asked not to be identified discussing confidential information. Deliberations are ongoing and there’s no certainty that Circle will decide to proceed with a listing, the people said. While it’s not clear how much Circle would seek to be valued in an IPO, it was valued at $9B when it tried to go public in a blank-check deal in 2022.
“Becoming a U.S.-listed public company has long been part of Circle’s strategic aspirations. We don’t comment on rumors,” a representative for Circle said in a statement.
Data as of 01/2023: the Securities and Exchange Commission would not sign off on Circle's plans to go public, according to the Financial Times.
“We never expected the SEC registration process to be quick and easy,” Circle added. “We’re a novel company in a novel industry. It’s necessary, appropriate and reasonable for the SEC to have a thorough, rigorous review process, especially given the swift expansion and evolution of Circle’s business during the 15 months between our first filing with the SEC in 08/2021 until the termination of the proposed merger last month.”
“There was an awfully long time waiting for approvals, and asking questions with the SEC,” a person familiar with the situation told the Financial Times, citing “regulatory confusion” around the US’s interactions with crypto companies that prevailed for much of 2021.
Despite the terminated deal, Circle said that it's "necessary, appropriate and reasonable for the SEC to have a thorough, rigorous review process."
When asked if the company still plans to go public: "We are not prepared to put a specific deadline on the decision, but we will be taking steps to continue our journey to go public as soon as practicable," a Circle spokesperson told Insider in 12/2022.
